Terms of Service
These Terms of Service (the “Terms”) govern your use of the StockSense add-on (the “Service”) provided by Wipora s.r.o., registered seat Jičínská 226/17, Žižkov, 130 00 Praha 3, Czech Republic, company ID (IČO) 07326963, VAT ID (DIČ) CZ07326963 (“we”, “us”, the “Provider”). By installing or using the Service you agree to these Terms.
1. The Service
StockSense is a Shoptet add-on that reads your store data through the official Shoptet API and provides inventory reporting, stock-level monitoring, sales analytics, predictions and data exports. The Service is provided on a software-as-a-service basis and may be updated, improved or modified over time.
2. Eligibility and installation
To use the Service you must operate an active Shoptet e-shop and install StockSense from the Shoptet marketplace. During installation you authorise the Service, via Shoptet OAuth, to access the store data required to provide its features. You are responsible for ensuring you have the authority to grant that access.
3. Your responsibilities
- Use the Service only for your own lawful business purposes.
- Do not attempt to disrupt, reverse engineer, overload, or gain unauthorised access to the Service or its infrastructure.
- Ensure that your processing of any personal data contained in your store data complies with applicable law; with respect to that data you act as the controller and we act as your processor.
4. Fees
Fees for the Service, including any free tier or trial, are set out in our Price List, which forms part of these Terms. We may update the Price List from time to time; changes apply to future billing periods.
5. Data protection
Our handling of personal data is described in our Privacy Policy, which forms part of these Terms.
6. Intellectual property
The Service, including its software, design and content, is owned by the Provider and protected by intellectual property laws. These Terms do not transfer any ownership rights to you; you receive a limited, non-exclusive, non-transferable right to use the Service while these Terms are in effect. Your store data remains yours.
7. Availability and disclaimer
We aim to keep the Service available and accurate, but it is provided “as is” and “as available” without warranties of any kind. Reports and predictions are provided for informational purposes and should not be relied upon as the sole basis for business decisions. We do not guarantee uninterrupted or error-free operation.
8. Limitation of liability
To the maximum extent permitted by law, the Provider shall not be liable for indirect, incidental or consequential damages, loss of profits, revenue or data arising from the use of or inability to use the Service. Nothing in these Terms limits liability that cannot be limited under applicable law.
9. Term and termination
These Terms apply for as long as the Service is installed. You may stop using the Service at any time by uninstalling it from your Shoptet administration. Upon uninstallation we cease accessing your store data and delete the associated account data and tokens as described in the Privacy Policy. We may suspend or terminate access if these Terms are breached or if required for security or legal reasons.
10. Changes to these Terms
We may update these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms. The “Last updated” date above reflects the latest version.
11. Shoptet marketplace add-on provisions
The following provisions apply to the Service as an add-on distributed through the Shoptet add-ons marketplace and, within their scope, prevail over Sections 7 and 8 of these Terms. They incorporate the model provisions required by Shoptet for marketplace add-ons.
11.1 Definitions
- Add-on — a solution through which Shoptet can be connected with external services; in these Terms, the StockSense add-on (the Service).
- Product page — the Add-on's page on the Shoptet marketplace: https://doplnky.shoptet.cz/stocksense-skladovy-reporting-a-predikce.
- Shoptet — Shoptet, a.s., registered office Dvořeckého 628/8, Břevnov, 169 00 Praha 6, Company ID (IČ): 28935675, registered with the Municipal Court in Prague under file No. B 25395.
- Provider — Wipora s.r.o. (see Section 12); User — the e-shop operator using the Add-on.
11.2 Role of Shoptet
The Provider provides the Add-on and all related services to the User on the Provider's own account and responsibility. Shoptet is not the provider of the Add-on and is not responsible for the Add-on or its content. The User acknowledges and expressly agrees that, in relation to the Add-on, Shoptet has no obligation to provide any support or maintenance services and bears no responsibility for settling any claims of the User or any third party towards the Provider and/or the Add-on operated by the Provider, whether arising from liability for defects, damage caused, or breach of legal regulations, in particular in the area of personal data processing or other rights. Shoptet is likewise not responsible for the Add-on's level of availability, its current or future compatibility, or for the conformity of the functionality described on the Product page with the Add-on's actual functionality.
11.3 Licence
The Provider hereby grants the User a non-exclusive licence (authorisation) to use the Add-on.
11.4 Operating parameters
The Provider undertakes to provide the Add-on so that it is available via the internet for at least 99 % of the total time in each calendar month. The Add-on is considered available if it can be duly used — i.e. without any difficulties, malfunctions or defects — for the purpose stated on its Product page. Time covered by the standard maintenance windows below is not counted towards the total time against which availability is assessed.
The Provider may carry out maintenance outages of the Add-on between 22:00 and 06:00 (Europe/Prague time), up to a maximum of 8 hours per calendar month. The Provider will announce every planned outage to the User at least 3 days in advance.
11.5 Support and maintenance
The Provider provides the User with technical support by e-mail; the contact details are stated on the Product page and in Section 12. The Provider will respond to any enquiry within 24 hours on business days of receiving it, via the communication channel through which the enquiry was made.
The Provider further undertakes to ensure regular maintenance and updates of the Add-on — in particular maintaining compatibility with the Shoptet API, security updates, and functional improvements — and to carry out activities aimed at detecting defects of the Add-on. The Provider undertakes to remedy all discovered defects within a period corresponding to their severity.
11.6 Liability
All responsibility for defects of the Add-on is borne exclusively by the Provider. The Provider is also liable for any damage or other harm arising from a breach of the Provider's obligations under the provision of the Add-on to the User or under any agreement concluded between the Provider and the User regarding the Add-on. The User acknowledges that Shoptet is not liable for any legal or factual defects of the Add-on, nor for any damage or other harm arising from a breach of the Provider's obligations.
Claims arising from defective performance may be raised using the contact details in Section 12 (e-mail: info@wipora.cz; postal address: Wipora s.r.o., Jičínská 226/17, Žižkov, 130 00 Praha 3, Czech Republic).
